Agreement
These Terms & Conditions ("Terms") govern your access to and use of Espacios services, operated by espacios ("we", "us", "our"). By engaging with Espacios or using the platform, you agree to be bound by these Terms.
Service scope
Espacios provides messaging operations, lead qualification systems, automation support, reporting, and related advisory or implementation services as described in your proposal or commercial agreement. Services may include AI-powered WhatsApp qualification, routing infrastructure, CRM integrations, and campaign execution.
Eligibility
You must be at least 18 years old and authorized to enter into a legally binding agreement on behalf of your business. By using Espacios, you represent that these conditions are met.
Client responsibilities
You are responsible for:
- Providing timely approvals, access to required tools, and accurate business information
- Ensuring all contact data used in messaging workflows is lawfully obtained
- Defining clear qualification rules, routing logic, and escalation criteria
- Maintaining the confidentiality of your account credentials and integrations
- Notifying us promptly of any unauthorized use or security concern
Acceptable use
You agree not to use Espacios to:
- Violate any applicable local, national, or international law
- Send spam, unsolicited messages, or misleading communications
- Impersonate any person, business, or entity
- Engage in any activity that harms our systems, infrastructure, or other users
- Violate WhatsApp's Business Policy, Commerce Policy, or Messaging Guidelines
WhatsApp and platform compliance
Espacios operates on top of WhatsApp Business APIs and third-party platforms. You are solely responsible for ensuring your messaging content and agent behavior comply with WhatsApp's Business Policy and Messaging Guidelines, as well as any applicable UAE regulations governing commercial messaging and data handling.
Fees and billing
Fees, setup charges, message usage costs, and execution retainers are defined in your commercial agreement. Message usage is billed in arrears based on actual volume. Execution fees scale with lead volume and campaign complexity. We reserve the right to update pricing with advance notice.
Your content and data
You retain ownership of all content, lead data, and configurations you bring to Espacios. By using the platform, you grant Espacios a limited license to process this content solely to deliver the service. You represent that you have all necessary rights to the data provided.
Availability and changes
Espacios may update features, workflows, or service methods to improve reliability, quality, or compliance. We aim for continuity, but some capabilities may change as tools or channel rules evolve. We will notify you of material changes that affect your service delivery.
Termination
Either party may terminate the agreement with written notice as specified in your commercial terms. We reserve the right to suspend access immediately if you violate these Terms or engage in activity harmful to the platform or other users.
Disclaimer of warranties
Espacios services are provided on a commercially reasonable basis. We do not guarantee specific lead volumes, close rates, revenue outcomes, or uninterrupted availability. Campaign performance depends on factors outside our direct control including market conditions, creative quality, and targeting data.
Limitation of liability
To the maximum extent permitted by applicable law, Espacios shall not be liable for indirect, incidental, special, or consequential damages. Our liability for any claim arising under these Terms is limited to fees paid for the affected service period.
Governing law
These Terms are governed by the laws of the United Arab Emirates. Disputes shall be subject to the jurisdiction of the courts of Dubai, UAE.
